TERMS OF REFERENCE FOR UPDATING CSBAG BOARD CHARTER-31ST MAY 2023

  1. Introduction

Civil Society Budget Advocacy Group (CSBAG) is a coalition formed in 2004 to bring together Civil Society Organizations (CSOs) at national and district levels to influence Government decisions on resource mobilization and utilization for equitable, gender-responsive and sustainable development. Since 2004, CSOs under the umbrella of CSBAG have engaged Government in influencing the budget process to ensure that both the local and national budgets address the needs and aspirations of the poor and marginalized groups of people in Uganda.

2.0 Background and rationale

CSBAG has an existing BoD charter developed in 2018 to guide the Board of Director’s to discharges its duties. This has effectively guided the BoD delivery as set out in the CSBAG constitution by incorporating what is generally accepted as current ‘best practices in conducting their roles and responsibilities.

CSBAG is seeking services for a resource person to review and update the BoD Charter to be responsive to any changes in the operating dynamics. Specifically,

  1. Clarify the roles and responsibilities of the BoD, BoD processes and procedures, board composition and diversity and succession planning
  2. Align with the current best practices to promote effective communication, and support strategic decision-making at CSBAG by the BoD
  3. Improve transparency and accountability

3.0 The Specific Terms of Reference

CSBAG is inviting proposals from reputable and qualified firms/individuals with a proven track record of success in corporate governance to undertake the assignment of reviewing and updating the BoD Charter according to the ToRs.

The specific terms of reference for this assignment are;

i. Scanning the operating context to capture any legal and strategy changes that can inform the updated charter?
ii. Provide an overview of the application of the current charter to capture lessons to inform the updated manual.
iii. Review and update the Charter in reference to the CSBAG constitution and emerging areas from the bullet (i) and (ii)
iv. Conduct BoD competence analysis
v. Hold a meeting with CSBAG BoD members and orient them on the reviewed BoDCharter
vi. Develop an institutional capacity matrix for effective adherence to the BoD Charter

4.0 Key Deliverables

The key deliverables of this assignment shall include.

  • An updated BoD Charter
  • 1 institutional capacity matrix
  • 1 Board orientation on the new Charter conducted

5.0 Reporting

The consultant will report directly to the Deputy Executive Director, Ms. Carol Namagembe while executing the assignment.

6.0 Required Skills and Experience

The consultant should demonstrate:

  • Knowledge and experience in board management, leadership, and governance; or institutional capacity development in the Civil Society Sector
  • At least seven years’ experience in Leadership and Governance as well as engagement in similar assignments.
  • Advanced University degree in business, law, economics, non-profit management, international development, or related field.
  • Excellent leadership, organizational, and time management skills and facilitating participatory processes.
  • Excellent written and communication skills including presentation and report writing.
  • Good judgement pays attention to nuance and detail, takes initiative, high sense of responsibility, tact, and discretion, with sensitivity to different cultures.
  • Ability to interpret, analyse, and synthesize information.

7.0 Timeline

The assignment will be delivered in a period of 15 days from the agreed-on start date but not later than 10th July 2023

8.0 Submission of proposals for the tasks

CSBAG is inviting Proposals as specified in this Terms of Reference. Interested individual consultants/firms are requested to submit Technical and financial proposals:

  1. Only financial proposals quoted in UGX are permitted.
  2. Description of the understanding of the tasks, including comments on the TORs;
  3. A brief critique or advice on, what the TOR ought to have included or considered, from your understanding of the task.
  4. A description of the methodology to be followed, to achieve the desired objectives.
  5. Work plan and time scheduling of information gathering and other activities; and
  6. CVs of the consultants/firms

9.0 Application Process
